Daytona 500: Tony Stewart and Matt Kenseth win qualifying races

Calorie listings on fast-food chain restaurant menus might meet federal labeling requirements but don't do a good job of helping consumers trying to make healthy meal choices, a new Columbia University School of Nursing (CUSON) study reports.

The study, by Elizabeth Gross Cohn, RN, NP, DNSc, assistant professor of nursing at CUSON, and colleagues, was published online on February 16, 2012, in the Journal of Urban Health. The researchers studied the calorie counts for 200 food items on menu boards in fast-food chain restaurants in the New York inner-city neighborhood of Harlem. Since 2006, the City has had a standard menu labeling law that includes some, though not all, of the new federal requirements.

"Although most postings were legally compliant, they did not demonstrate utility," the authors say. "Menu postings for individual servings are easily understood, but complex math skills are needed to interpret meals designed to serve more than one person. In some items, calories doubled depending on flavor, and the calorie posting did not give enough information to make healthier selections."

The federal health reform law passed in March 2010 requires restaurants with 20 or more locations to provide calorie data and additional nutritional information for menu items and self-service foods. The Food and Drug Administration is now considering how best to guide chain restaurants in posting calorie counts on menu boards.

Easily understood calorie listings could be helpful to consumers trying to make healthy food choices, especially in light of the increasing prevalence of obesity among American adults and children. The trend is a particular problem in low-income and inner-city neighborhoods, where sources of more healthful foods might not be as common as fast-food fare. Studies suggest that consumers are generally unaware of, or inaccurately estimate, the number of calories in restaurant foods.

To collect the data, volunteers equipped with digital cameras worked in pairs and canvassed each designated area block by block to identify national restaurant outlets. A total of 70 menus and menu boards from 12 restaurant chains were photographed, and 200 food items rated, using a measure of "practical utility" that the researchers developed to calculate (1) what constitutes a single serving and (2) the number of calories in a single serving. The researchers then combined this measure with current FDA guidelines to develop a seven-item "menu rating tool."

The researchers found that, while most restaurants studied have posted calorie counts, in the majority of cases there was insufficient information to make use of them at the point of purchase. One reason for this was that the majority of the items on the menu boards studied were combination meals rather than individual items. Furthermore, it was increasingly difficult to calculate calories per meal when the posting included anything more than an individual unit of measure.

Calorie counts became more challenging as the food items became more complex, especially combination and multi-serving items, which represented the largest percentage of items recorded. These required several mathematical and nutritional calculations, which might be more challenging among low socioeconomic groups in urban areas where fast-food chain restaurants tend to be most concentrated.

For example, the study reports, a bucket of chicken was listed as 3,240 to 12,360 calories, but the menu board did not contain enough information to determine the number of pieces of chicken in a serving size. Similarly, a hero combo meal ranged from 500 to 2,080 calories, but no information was provided on how a consumer would order within the lower range of this menu item. Specialty pizzas were offered in wide ranges without a clear explanation as to how they differed, since the calorie count was based on a standard size and standard set of toppings.

The authors note that their study was limited to one urban community and did not focus on actual food purchasing behavior but rather on the posted menu boards in chain restaurants. Still, they say, their work suggests the need for more understandable and useful calorie information in posted menus.

"As further legislation is developed, we support the FDA in their commitment to having menu boards that are useful at all levels of literacy," they conclude. Specifically, the authors support a system that uses dashes or slashes to more intuitively associate calorie counts to food combinations instead of the current system of ranges. In such a revised system, a breakfast sandwich, for example, would be listed as "egg with ham/bacon/sausage 350/550/750."

"In low-income communities with a high density of chain restaurants, and where educational attainment of consumers may be low, simplifying calorie postings and minimizing the math required to calculate calories would increase menu board utility," they say.

"Oh goodness!! I'm absolutely flabbergasted! In between laughing my head off, welling up, needing to sit down and trying to maintain an open fire (which is pretty much impossible huh!?), I keep having flashbacks to Sunday night. The most incredible night of my life," she wrote. "Thank you to you all, I am so overwhelmed, it's the strangest feeling. I have constant butterflies and goose bumps, it's wearing me out but I LOVE it!

"I've been sleeping a lot but the minute I wake up I burst out laughing and it starts all over again," she continued. "I forgot to mention so many people by name on the night, and for that I'm sorry. I will say thanks to your face when I next see you. I was totally unprepared. Despite the phenomenal year, I swear I didn't think I had any chance. All the categories were full of people I adore with brilliant songs, records and performances. So not in my wildest dreams did I think to actually prepare anything proper to say just in case."

Nestled in between giddy moments in the post, Adele was reflective about the past 12 months. "Thank you to everyone who enjoys my music, and to all the 'daydreamers' (I love that you call yourselves that. I read all your messages and threads from time to time and you crack me up x) it seems like you pass 21 on and want people to hear it and it's because of that that it's evolved into something that we should all be very proud of," she wrote. "All of this is yours — the songs, the shows, the moments like this. Not that there's any other moments like this one, but you get my drift ... Ha! Exclusive: Eyeing Yahoo deal, Alibaba may take HK unit private (Reuters)

HONG KONG (Reuters) ? Chinese e-commerce group Alibaba plans to take private its Hong Kong-listed unit, two sources familiar with the matter said, as part of a complex deal that would strengthen founder Jack Ma's control and give key stakeholder Yahoo cash and a direct stake in one of Alibaba's operating businesses.

Alibaba Group, the online business-to-business group set up in 1999 by former tour guide and now billionaire Ma, plans to buy back most of the 40 percent stake in it that Yahoo bought for around $1 billion in 2005.

Under the plans being discussed, Alibaba Group would use bank loans and cash plus an asset swap to buy back about a 25 percent stake, leaving Yahoo holding 15 percent, the sources said. The U.S. group's 40 percent holding is worth an estimated $13-$14 billion, based on recent deal valuations.

Alibaba Group, one of the three leading players in the world's biggest Internet market, plans to pay a third of the consideration through a stake in one of its operating assets - making a deal tax-free for Yahoo - and the rest, around $6 billion, in cash, the sources said. It is looking to raise a loan of about $3 billion to help fund the deal.

The sources said taking Alibaba.com private was just one of the proposals being discussed, and was not a pre-condition of any Yahoo deal. Any final agreement could be several weeks away, they added.

Alibaba Group's plans are part of an overall deal being discussed by Yahoo, the Internet pioneer which is under pressure from its investors to turn around a lackluster performance. Last month, Yahoo appointed Scott Thompson as CEO to replace Carol Bartz who was fired in September, and co-founder Jerry Yang quit the company.

Yahoo shareholders are frustrated at stakeholders' apparent indecision over how to handle investments in Alibaba and other Asian assets.

"Alibaba.com's share price has been quite bumpy since its listing. Probably taking it private will make it more flexible for the group to do the transformation that it's going through," said Wendy Huang, head of regional Internet and media research at RBS in Hong Kong.

Trading in Alibaba.com shares was halted on Thursday pending an announcement regarding its parent. Alibaba.com, which is around 73 percent-owned by Alibaba Group, has a market value of nearly $6 billion, making the remaining stake in it worth around $1.6 billion.

Alibaba.com is the most likely operating unit in which Yahoo may be offered a stake, one of the sources said. Both parties have an understanding on this arrangement, but have not signed any formal deal yet, the source added.

Other Alibaba Group assets that could be used in a swap deal with Yahoo could include Taobao.com, often dubbed "China's e-Bay," Taomall, Yahoo (China) and Alipay, an e-payment business, sources said, adding Yahoo would get to choose which assets it wants.

The sources declined to be identified as the discussions were private. An Alibaba Group spokesman declined to comment.

Sources previously told Reuters that under a "cash rich split" plan being discussed, Yahoo would effectively transfer most of its 40 percent Alibaba stake back to the Chinese company, and all of its more than one-third stake in Yahoo Japan to Softbank Corp in return for cash and assets.

Shares in Softbank jumped more than 4 percent to a 5-week high of 2,319 yen on Friday. Softbank has an indirect stake of 31-32 percent in Alibaba.com as it holds close to a third of Alibaba Group and owns 58 percent of Alibaba Japan.

Yahoo had also entertained separate proposals from private equity firms TPG and Silver Lake about minority investments in the company, but those offers fell short of Yahoo's expectations.

Droid 4 Launches on Verizon (ContributorNetwork)

The Verizon Droid line of smartphones has been the carrier's flagship since its launch in 2010. With "Droid Does" commercials, which emphasized the things an Android-powered smartphone could do that the iPhone couldn't, it turned the gadget made by Motorola into one of Apple's first real competitors.

A lot of the things mentioned in those first ads, like multitasking and copy and paste, are now a part of the iPhone's design. And the iPhone 4S has features like Siri and the Retina Display, which are exclusive to Apple and aren't on Android smartphones. The Droid 4 has a number of improvements, though, which set it apart from both the iPhone and earlier Droid models.

4G LTE wireless radio

The 4G radio only works in select markets, which are connected by Verizon's 4G LTE network. Where it works, however, Droid 4 owners will have connection speeds (and Internet browsing speeds) much faster than on the iPhone or earlier Droids.

The downside of a 4G radio is that it uses a lot of power, so Android "superphones" which are 4G-equipped are huge to accommodate the extended battery needed (and usually have poor battery life anyway).

Hardware keyboard

This is nothing new to fans of Verizon's Droid lineup, which has featured both portrait (BlackBerry-style) keyboards and landscape-mode sliders since its earliest days. The iPhone still lacks a hardware keyboard, however, and is unlikely to have one anytime soon, aside from letting you pair it with Bluetooth wireless keyboards.

The Droid 4's slider keyboard isn't an ordinary one. It has five rows, complete with a dedicated number key area, and is edge-lit so that you can see the keys in the dark. It's similar to the one on the earlier Droid 3, in other words, but is paired with ...

Upgraded under-the-hood specs

The Droid 4 has double the memory of the earlier Droid 3, with 1 GB instead of 512 MB. This means more web browser tabs can be open at once, as well as making it faster to switch between recently-opened apps. It also has a faster 1.2 GHz processor, instead of the Droid 3's 1 GHz.

The rear-facing camera has the same 8 megapixel rating and ability to shoot 1080p HD video as on the Droid 3. But the front-facing camera is now 1.3 megapixels and able to record 720p video, letting others video chat with you in HD instead of blocky VGA (640x480) resolution.

No Ice Cream Sandwich ... yet

The Droid 4 won't ship with the latest version of Android, called Ice Cream Sandwich, which was featured on the Samsung Galaxy Nexus (also on Verizon). Ice Cream Sandwich brought a full graphical overhaul and numerous smaller updates. It will probably be upgraded later this year, however.

Does a Single-Owner C or S Corporation Offer Better Protection for ...

Because of some highly-publicized legal cases concerning single member LLCs, and courts not upholding the asset protection rules, we?re seeing strategists suggest you use a corporation, or an LLC taxed as a Corporation instead to hold certain assets. However, there are some strong downsides to that method, from both a legal standpoint and a tax standpoint.

From a tax standpoint, here?s the problem with C Corporations, and LLC-Cs: they don?t receive capital gains tax treatment. You?ll pay tax at the full corporate rate on any profits realized from the sale of an asset.

There?s no easy way if you decide to pull assets out of a C Corporation. They come out at fair market value, meaning the difference between the value when it went in, to when it came out, is taxable, again at C Corporation rates. And, if the only purpose of the C Corporation is to hold that asset, you?ve just taken away its reason for existence. You may wind up having to dissolve the Corporation, which means anything left inside comes to you as a liquidating dividend ? and that gets taxed at your personal rate.

Life is a little better for assets in an S Corporation, or an LLC-S, but it?s still not a great choice. You won?t pay ordinary tax rates when you sell an asset to a third party, but if you pull the asset out for any other reason you?ll still pay tax on the difference between the original value and the current fair market value.

Could you avoid all this by simply selling your ownership and leaving the entity intact? Sure ? if you can find someone to buy your problem. Most of the time though, a buyer only wants the assets and doesn?t want your whole entity.

From a legal standpoint, it?s not good either. If you have used a Corporation (not an LLC-C or LLC-S), then by moving into a Corporation you surrender the whole idea of Charging Order protection. The protections granted to LLCs are NOT granted to Corporations (except in Nevada, where S Corporation shares are protected by statute). That means your shares in a C or S Corporation are not safe from a judgment creditor. They could be seized and taken away from you. Once you lose control over your company?s stock, there is nothing to stop a judgment creditor from voting your shares in favor of liquidating the corporation?s assets to pay its debt.

Now, if there are enough other shareholders willing to vote against the proposal and together they out-vote your creditor, they may be able to save the corporation?s assets. But, on the other hand, if you are a corporation of one, or have majority control, your creditor can and will use this method to satisfy its judgment.

So, it?s not just because of the taxes that we recommend holding appreciating assets in an LLC. Not only is this business structure more tax-friendly, it?s more litigation-friendly, too.

There are many variables when you?re structuring a business. That?s why it?s hard to go through a quick-service website. Unless you talk to someone who?s got some knowledge and experience on both the tax and the legal side, it?s hard to know what you don?t know. And that can leave you vulnerable.
